3. Project Engagement

All projects are governed by a separate project agreement or proposal that outlines:

• Scope of work and deliverables

The project agreement, together with these Terms of Service, forms the complete agreement between you and Filtedev for the specific project.

4. Payment Terms

Payment terms are as follows unless otherwise specified in your project agreement:

• Deposit: A non-refundable deposit (typically 50%) is required before project commencement.
• Final Payment: The remaining balance is due upon project completion, before final files are delivered.
• Late Payments: Invoices not paid within 14 days may incur a late fee of 1.5% per month.
• Payment Methods: We accept major credit cards, bank transfers, and other methods as agreed.

5. Client Responsibilities

As a client, you agree to:

• Provide all necessary content, materials, and information in a timely manner
• Respond to requests for feedback and approvals promptly
• Ensure you have the rights to all content provided to us
• Make payments according to the agreed schedule
• Communicate any concerns or issues as they arise

6. Intellectual Property

Upon Final Payment: You will own all rights to the final deliverables created specifically for your project, excluding any third-party assets or pre-existing materials.

Filtedev Retains: We retain ownership of all preliminary designs, concepts, source code frameworks, and proprietary tools used in development.

Portfolio Rights: Unless otherwise agreed, Filtedev reserves the right to display completed work in our portfolio and marketing materials.

7. Revisions and Changes

Revision policies are specified in each project agreement. Generally:

• A specified number of revision rounds are included in the project scope
• Additional revisions may incur extra charges
• Major scope changes may require a new quote or project agreement
• Revisions should be consolidated and provided in writing

8. Project Timeline

While we strive to meet all agreed deadlines, project timelines depend on timely client feedback and content delivery. Delays caused by late client responses may extend the project timeline accordingly. We will communicate any anticipated delays promptly.

9. Cancellation and Refunds

Client Cancellation: If you cancel a project after work has begun, the deposit is non-refundable and you will be invoiced for any work completed beyond the deposit amount.

Filtedev Cancellation: If we are unable to complete a project, we will refund any payments for work not yet completed and provide all completed work to date.

10. Warranties and Disclaimers

Our Warranty: We warrant that our work will be performed in a professional manner consistent with industry standards.

Disclaimer: We do not guarantee specific business results, search engine rankings, or conversion rates. Websites are provided "as is" after the warranty period (typically 30 days post-launch).

11. Limitation of Liability

To the maximum extent permitted by law, Filtedev's liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project in question. We are not liable for any indirect, incidental, special, or consequential damages.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes business strategies, technical specifications, and any information marked as confidential.

13. Dispute Resolution

Any disputes arising from these terms or our services will first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to mediation or arbitration as mutually agreed upon by both parties.

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
